By accessing or using Fairweek's websites, applications, APIs, or other services (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Fairweek provides software and related services to help organizations manage workforce compliance, scheduling records, and operational communications. Features, functionality, and availability may change from time to time. We reserve the right to modify, suspend, or discontinue any part of the Services at any time.

You may need to create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party right.
• Send unsolicited, fraudulent, or abusive communications.
• Interfere with or disrupt the integrity or performance of the Services.
• Attempt to gain unauthorized access to the Services or related systems.
• Reverse engineer, decompile, or disassemble any part of the Services.

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Services, you consent to the practices described in the Privacy Policy.

Fairweek and its licensors own all rights, title, and interest in and to the Services, including all software, designs, text, graphics, logos, and trademarks. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

Certain features of the Services may require payment. Fees are set out in the applicable order form, subscription agreement, or pricing page. Unless otherwise stated, fees are non-refundable. We may change our pricing upon notice.

We may suspend or terminate your access to the Services at any time if you violate these Terms or if we reasonably believe your use creates legal or operational risk. You may stop using the Services at any time. Upon termination, your right to access the Services will cease.

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

To the fullest extent permitted by law, Fairweek shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss, arising out of or relating to your use of the Services. Our aggregate liability shall not exceed the total amount paid by you to Fairweek in the twelve months preceding the claim.

You agree to indemnify and hold harmless Fairweek and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses arising out of your use of the Services, your data, or your violation of these Terms or any applicable law.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles. Any dispute arising out of these Terms shall be brought in the state or federal courts located in New York County, New York.

We may update these Terms from time to time. Material changes will be effective thirty (30) days after we post the revised Terms or notify you through the Services. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
